This End User License Agreement ("EULA") governs your use of SOPs, templates, checklists, and bundles purchased from AVD Clinical. By downloading a document, you agree to this license. This is a license to use, not a transfer of ownership or copyright.
1. Licensor
AVD Clinical ("Licensor," "we," "us") grants you ("Licensee," "you") a limited, non-exclusive, non-transferable license to use the purchased document(s) ("Licensed Materials") under the terms below.
2. Grant of License
2.1 Single-User License (default)
Unless you have purchased a Team or Enterprise plan, you receive a single-user license. You may:
- Download and store the document for personal or organizational use.
- Print and view the document.
- Modify and adapt the document for use within your own organization's clinical operations.
- Use the document as a structural starting framework for your internal SOPs and procedures.
- Reference the document in internal training materials within your organization.
2.2 Team License (Team Site plan)
Team plan subscribers receive a multi-seat license covering all current team members registered under their Team account. All permitted and prohibited uses below apply to each team member equally.
3. Prohibited Uses
You may not:
- Resell, sublicense, or distribute the document to individuals or organizations outside your own organization.
- Post, publish, or share the document on any publicly accessible platform, repository, or website.
- Share download links or files with anyone outside your organization who has not purchased access.
- Remove or alter AVD Clinical copyright notices, attribution, or branding from the original document.
- Claim authorship of the original AVD Clinical document.
- Use the document — unmodified or minimally modified — as a regulatory submission to any health authority without appropriate internal review, validation, and adaptation.
- Represent the document as a certified, validated, or regulatory-approved procedure without conducting your own validation process.
- Bundle or package the document as part of any commercial training product, consulting package, or SaaS offering without a separate written commercial license from AVD Clinical.
4. Mandatory Customization Requirement
AVD Clinical templates and SOPs are starting frameworks — not ready-to-use regulatory documents. Before operational use in clinical research, you must:
- Review and adapt the document to your organization's specific procedures, study protocols, and site capabilities.
- Obtain review and sign-off from your Quality Assurance, Regulatory Affairs, or Compliance team.
- Verify alignment with the requirements of any applicable regulatory authority and your specific study protocol.
- Complete any required validation steps for computer system SOPs (electronic records regulations, etc.).
AVD Clinical does not review, validate, certify, or approve adapted documents. Responsibility for the adapted document's fitness for regulatory use rests entirely with your organization.
5. Ownership & Copyright
All AVD Clinical-authored documents remain the intellectual property of AVD Clinical and are protected by copyright law. Purchase grants you a license to use the document under these terms; it does not transfer ownership, copyright, or any other intellectual property rights. Adaptations you make to a document remain your property; the original underlying structure and content remain AVD Clinical's.
6. No Warranty
Licensed Materials are provided "as is." AVD Clinical makes no warranty that:
- The documents are current, complete, or free of errors.
- The documents will be accepted by any regulatory authority.
- Use of the documents will result in regulatory compliance.
- The documents reflect the most recent regulatory guidance revisions.
Regulatory guidance changes frequently. Always verify against the current version of applicable guidelines before use.
7. Limitation of Liability
To the maximum extent permitted by law, AVD Clinical shall not be liable for any regulatory non-compliance findings, inspection citations, clinical harm, operational losses, or any other damages resulting from your use or adaptation of Licensed Materials. Your sole remedy for a defective or undelivered file is re-delivery of the file.
8. Term & Termination
This license is perpetual for one-time purchases, subject to compliance with these terms. Subscription-based access terminates when your subscription ends. If you breach any term of this EULA, your license terminates immediately and you must cease use and delete all copies of the Licensed Materials.
9. Governing Law
This EULA is governed by the laws of the State of Delaware, United States. Disputes shall be resolved in the courts of Delaware.
